4. Intellectual Property

All content, software, documentation, AI models, and tools created or provided by SCIELD FZE remain our intellectual property unless explicitly stated otherwise in writing. Clients receive a non-exclusive, limited license to use deliverables for the agreed project.

5. Confidentiality

Both parties agree to maintain strict confidentiality of all non-public information exchanged throughout the engagement, including security data, system information, source code, models, and business details.

6. Data Protection

Data is processed solely for delivering services, support, analytics, and compliance with legal obligations. We follow UAE data protection requirements and internationally recognized security standards.

7. Payment Terms

• Invoices must be paid as per the schedule in the service agreement.
• Late payments may lead to service suspension or additional charges.
• No refunds apply for partially completed or delivered services unless otherwise agreed.

8. Service Availability and Support

We aim for high service availability but do not guarantee uninterrupted operation. Maintenance or emergency updates may occur when required.

9. Limitation of Liability

SCIELD FZE is not liable for indirect, incidental, or consequential damages, including business or data loss. Our maximum liability is limited to the amount paid for the last 3 months of service.

10. Restrictions

• Using services for illegal purposes.
• Reselling our services without written permission.
• Bypassing or attempting to bypass security mechanisms.
• Uploading harmful code, malware, or unauthorized scripts.

11. Termination

We may suspend or terminate services for violations of these Terms, overdue payments, or upon project completion. Upon termination, clients must stop using proprietary materials and delete confidential information.

12. Governing Law

These Terms are governed under the laws of the United Arab Emirates, specifically the jurisdiction applicable to SCIELD FZE (Free Zone entity).
